What exactly did Ecopetrol buy in Wednesday's auction?
Colombia's state-controlled oil giant Ecopetrol, through its Brazilian subsidiary Ecopetrol Investimentos do Brasil, acquired approximately 116.1 million ordinary shares of Brava Energia in a public tender offer (OPA) held on 5 August. The purchased stake represents around 25% of Brava's share capital.
How does this fit into Ecopetrol's broader strategy?
The auction is the final step in a multi-stage acquisition. Back in April, Ecopetrol had already bought a 26% stake from a block of shareholders in a private deal at R$ 24 per share. The following month it launched the formal tender offer to acquire an additional 25% of Brava's outstanding shares at R$ 23 per share.
When does Ecopetrol become the majority owner?
Financial settlement of the auction purchases is scheduled for 17 August. From that date, Ecopetrol will hold 236,924,207 ordinary shares in Brava Energia, corresponding to a controlling 51% of the company's share capital.
Was the tender offer ever at risk?
Yes. Brazil's securities regulator CVM had suspended the OPA, but last month the CVM's collegiate body upheld an appeal filed by Ecopetrol and lifted the suspension, clearing the way for Wednesday's auction to proceed.
What does this mean for Brava Energia investors?
Shareholders who tendered their shares in the OPA received R$ 23 per ordinary share. Those who sold in April's private block deal received R$ 24 per share.
